Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you or the organization you represent (“you”) and Virexis (“Virexis,” “we,” “us,” or “our”) governing your access to and use of the Atlas platform, our websites, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Eligibility and accounts

You must be at least 16 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Beta services

The Services are currently offered on a private-beta basis. They are provided “as is,” may change or be discontinued at any time, and may contain errors or interruptions. Beta features are not guaranteed to be available in any future release. You should not rely on the beta Services for safety-critical operations without independent safeguards.

Acceptable use

You agree not to:

• Use the Services in violation of any applicable law or regulation.
• Access, tamper with, or use non-public areas of the Services or our systems without authorization.
• Probe, scan, or test the vulnerability of the Services except as expressly permitted in writing, or breach security or authentication measures.
• Interfere with or disrupt the integrity or performance of the Services.
• Reverse engineer or attempt to derive source code except to the extent permitted by law.
• Use the Services to store or transmit malicious code or to infringe the rights of others.

Your content and data

You retain all rights to the data and content you submit to the Services (“Customer Content”). You grant Virexis a limited license to host, process, and transmit Customer Content solely to provide and support the Services. You are responsible for your Customer Content and for ensuring you have the necessary rights to submit it. Our handling of personal information is described in our Privacy Policy.

Intellectual property

The Services, including all software, documentation, and content provided by Virexis (excluding Customer Content), are owned by Virexis and protected by intellectual property laws. Except for the rights expressly granted here, we reserve all rights. You may not use our name, logos, or trademarks without our prior written consent.

Fees

Access during the private beta may be provided at no charge. We may introduce fees for the Services in the future; if we do, we will provide notice before any charges apply to you.

Confidentiality

Non-public information disclosed by either party in connection with the Services is confidential and may be used only to exercise rights and perform obligations under these Terms. This obligation does not apply to information that is or becomes public through no fault of the receiving party.

Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

Limitation of liability

To the maximum extent permitted by law, Virexis will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or in connection with the Services. Our aggregate liability for any claim relating to the Services will not exceed the greater of the amounts you paid to us for the Services in the twelve months preceding the claim or one hundred U.S. dollars (US$100).

Indemnification

You will indemnify and hold harmless Virexis from any claims, damages, and expenses (including reasonable legal fees) arising from your Customer Content or your use of the Services in violation of these Terms or applicable law.

Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if necessary to protect the Services or other users. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive termination will survive.

Governing law

These Terms are governed by the laws of the United States and the state in which Virexis is organized, without regard to conflict-of-laws principles. The courts located there will have exclusive jurisdiction over any dispute arising from these Terms, except that either party may seek injunctive relief where appropriate.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
